Affiliate Programme Terms & Conditions

Please read these terms carefully before applying. By submitting an application to join the Visary Affiliate Programme, or by using your affiliate referral link in any way, you agree to be legally bound by these Terms and Conditions in full. If you do not accept these terms, do not apply and do not use your referral link.

1. Definitions

In these Terms and Conditions, the following definitions apply:

  • "Visary", "we", "us", "our" — Visary, operated at visary.co.uk.
  • "Affiliate", "you", "your" — the individual or entity approved to participate in the Programme.
  • "Programme" — the Visary Affiliate Programme described in these Terms.
  • "Referral Link" — the unique URL assigned to you containing your referral code.
  • "Referred User" — a new user who visits Visary via your Referral Link within the Cookie Window and subsequently creates an account.
  • "Qualifying Subscription" — a Visary Premium subscription purchased by a Referred User that has not been refunded, charged back, or cancelled within the Commission Lock Period.
  • "Commission" — the monetary amount payable to you in respect of a Qualifying Subscription, calculated at the Commission Rate.
  • "Commission Rate" — currently 20% of the gross subscription value, subject to change in accordance with clause 16.
  • "Commission Lock Period" — the 30-day holding period after a Commission is earned, during which it cannot be withdrawn and may be reversed.
  • "Cookie Window" — the 90-day period following a user's first click on your Referral Link during which a subsequent Qualifying Subscription will be attributed to you.
  • "Minimum Payout Threshold" — the minimum available balance of USD $250 required before a payout may be requested.
  • "Affiliate Dashboard" — the online portal at visary.co.uk/affiliate/dashboard used to access your account, statistics, and payout functions.

2. Eligibility

To be eligible to participate in the Programme, you must:

  • Be at least 18 years of age;
  • Be a legal resident of a country in which participation is not prohibited by local law;
  • Have submitted a complete and accurate application;
  • Have received written approval from Visary (approval of your Affiliate Dashboard account);
  • Have and maintain a legitimate platform, website, social media channel, or other channel through which you promote Visary;
  • Not be an employee, director, officer, contractor, or close family member of an employee of Visary;
  • Not have been previously suspended or banned from the Programme.

Visary reserves the right to decline any application or revoke approval at any time, for any reason or no reason, at its sole discretion. Approval of an application is not guaranteed and does not create any obligation on Visary's part.

3. Application and Approval

Applications are reviewed manually. We aim to respond within 7 business days but this is not guaranteed. You must provide accurate, complete, and truthful information in your application. Providing false or misleading information is grounds for immediate rejection or termination.

Your Referral Link must not be used in any way until you receive express written confirmation that your application has been approved. Any commissions generated through use of a Referral Link prior to approval are void and will not be paid.

4. Affiliate Obligations

As an Affiliate, you agree to:

  • Promote Visary honestly, accurately, and only through lawful means;
  • Only make claims about Visary and its products that are accurate, not misleading, and consistent with Visary's official marketing materials;
  • Clearly and prominently disclose your affiliate relationship with Visary in every piece of content in which your Referral Link appears (see clause 10);
  • Comply with all applicable laws, regulations, and codes of practice, including the UK ASA/CAP Code, the UK Privacy and Electronic Communications Regulations (PECR), the General Data Protection Regulation (UK GDPR), and, where applicable, the US FTC Endorsement Guidelines;
  • Keep your account credentials confidential and be responsible for all activity under your account;
  • Promptly notify us of any suspected unauthorised access to your account;
  • Not use your own Referral Link or encourage a device you control to generate fictitious referrals.

5. Prohibited Activities

The following activities are strictly prohibited and will result in immediate termination, forfeiture of all outstanding commissions, and may result in legal action:

  • Self-referrals: Using your own Referral Link to sign up for a Visary account, or directing any person or device you control to do so;
  • Fake traffic: Generating artificial clicks, impressions, or sign-ups through bots, automated software, click farms, or any other artificial means;
  • Cookie stuffing: Placing your affiliate cookie on users' devices without their knowledge or genuine intent to click;
  • Incentivised sign-ups: Offering or implying cash, gifts, or any incentive to users in exchange for signing up via your link, without prior written consent from Visary;
  • Spam: Distributing your Referral Link via unsolicited email (spam), SMS spam, or any unsolicited mass messaging;
  • Misleading claims: Making false, misleading, or unsubstantiated claims about Visary or the income potential of the Programme;
  • Trademark bidding: Bidding on "Visary", "Visa Route Diary", or any Visary brand term in paid search advertising (Google Ads, Bing Ads, etc.) without prior written approval;
  • Impersonation: Representing yourself as an employee, agent, or official representative of Visary;
  • Malware/adware: Promoting Visary via software that installs without informed user consent, or that intercepts or redirects user browser activity;
  • Multiple accounts: Creating more than one affiliate account without prior written approval;
  • Promotion on prohibited content: Promoting Visary on any platform or content that contains illegal material, hate speech, adult content, violence, or content that promotes discrimination.

6. Referral Tracking and Attribution

Referrals are tracked by a first-click cookie with a 90-day window. If a user has previously clicked another affiliate's link, the earlier affiliate may receive attribution. We do not guarantee attribution in all cases, including where a user has disabled cookies, uses private browsing, or switches devices.

We make no representations as to the accuracy of tracking technology and accept no liability for tracking failures caused by user browser settings, third-party software, or technical errors outside our reasonable control. Tracking data displayed in your Affiliate Dashboard is provided for information purposes and is subject to final verification.

Visary's tracking records are the definitive record for commission calculation purposes. In the event of a discrepancy between our records and any third-party analytics, our records prevail.

7. Commission Structure

You earn a Commission equal to the Commission Rate multiplied by the gross monthly subscription fee paid by a Referred User for a Qualifying Subscription. As of the Effective Date, the Commission Rate is 20% of the gross subscription value (currently $19.80 per month, per active subscriber).

Commission is recurring: you earn Commission for each monthly renewal of a Qualifying Subscription for as long as (a) the subscription remains active; (b) you remain an approved Affiliate in good standing; and (c) the Programme continues to operate.

No Commission is payable on: subscriptions purchased by existing Visary users before your Referral Link was clicked; your own subscriptions or subscriptions by anyone acting on your behalf; refunded or charged-back subscriptions; or subscriptions that are cancelled within the Commission Lock Period.

8. Commission Lock Period and Clawback

All Commissions are subject to a 30-day Commission Lock Period from the date they are earned. During this period, Commissions are held in a "pending" state and cannot be withdrawn. After 30 days without a refund or chargeback, a Commission is moved to "approved" and becomes available for withdrawal (subject to the Minimum Payout Threshold).

If a Referred User's subscription is refunded, reversed, or charged back at any time — including after a Commission has been moved to "approved" — Visary reserves the right to claw back the corresponding Commission by deducting it from your available balance. If your available balance is insufficient, the deficit will be deducted from future Commissions.

Where Visary suspects fraudulent activity, it may place your account under review, freeze all pending and approved Commissions, and withhold payment pending investigation. Commissions withheld during a fraud investigation that is subsequently upheld will be permanently forfeited.

9. Payments and Payouts

Payouts are made by bank transfer only. You must provide accurate and complete bank account details via your Affiliate Dashboard before requesting a payout. Visary accepts no responsibility for misdirected payments resulting from incorrect bank details.

Payouts are available on request once your available balance reaches the Minimum Payout Threshold of USD $250. Payments are processed within 14 business days of an approved payout request. Visary may use a reasonable exchange rate to convert amounts where necessary and accepts no responsibility for exchange rate fluctuations.

Visary reserves the right to delay any payout if: (a) there are open fraud investigations related to your account; (b) you have outstanding breaches of these Terms; or (c) a payout is required to be withheld under applicable law.

Balance expiry: If your affiliate account has been inactive (no new approved commissions) for a continuous period of 24 months and your available balance is below the Minimum Payout Threshold, Visary reserves the right to expire that balance. Visary will provide 30 days' written notice before doing so.

10. Disclosure Requirements

You are legally required to disclose your material connection to Visary in every piece of content in which your Referral Link appears or is referenced. This is a requirement under the UK ASA/CAP Code, UK Competition and Markets Authority (CMA) guidance, and, where applicable, US FTC guidelines.

Acceptable disclosures include (but are not limited to): "Affiliate link", "I earn a commission if you sign up via this link", "#ad", or "#affiliate". Disclosures must be clear, conspicuous, and placed near the link — not buried in fine print or visible only on scrolling. Platform-native disclosure tools (e.g. Instagram's "Paid partnership" tag) must be used where available.

Failure to disclose is a breach of these Terms and may constitute a criminal or civil offence. Visary accepts no liability for your failure to comply with disclosure requirements. Any regulatory fines, complaints, or legal actions arising from your failure to disclose are solely your responsibility.

11. Intellectual Property and Brand Use

Subject to these Terms, Visary grants you a limited, non-exclusive, non-transferable, revocable licence to use Visary's name, logo, and approved marketing materials solely for the purpose of promoting the Programme in accordance with these Terms and any brand guidelines we provide.

You may not: modify Visary's logos or trademarks; create derivative works; use Visary's brand in any way that implies a partnership, endorsement, or official status beyond that of an affiliate; or register any domain name, social media handle, or business name containing "Visary" or any confusingly similar term.

All intellectual property rights in Visary, including its brand, product, content, and technology, remain exclusively owned by Visary. These Terms do not transfer any ownership of intellectual property to you.

12. No Earnings Guarantee

Visary makes no representations, warranties, or guarantees regarding the income you may earn through the Programme. Any figures presented on the Programme's marketing pages (e.g. "$19.80 per referral per month") are illustrative only and based on current pricing. Actual earnings depend entirely on your own efforts, your audience, and factors outside Visary's control. Past performance of other affiliates is not indicative of your future results.

You must not make specific income claims or projections to third parties when recruiting them to the Programme or when marketing Visary.

13. Tax Obligations

You are solely responsible for determining, reporting, and paying all taxes, levies, and charges applicable to your Commission income in your jurisdiction, including but not limited to income tax, self-employment tax, and VAT. Visary does not withhold tax from Commission payments and does not provide tax advice.

You may be required to provide a valid tax identification number, W-9 (US persons), W-8BEN (non-US persons), or similar documentation before payouts can be made. Visary reserves the right to withhold payments until required tax documentation is provided.

14. Termination and Suspension

By Visary: We may suspend or terminate your participation in the Programme at any time, with or without cause, and with or without notice. Causes for immediate termination without notice include (but are not limited to): any Prohibited Activity (clause 5); fraud or suspected fraud; misrepresentation; violation of applicable law; or any conduct that, in our sole judgement, damages or is likely to damage Visary's reputation.

By You: You may terminate your participation at any time by closing your Affiliate Dashboard account and ceasing to use your Referral Link.

Effect of Termination: On termination for any reason: (a) your Referral Link will cease to function; (b) no further Commissions will accrue; (c) Commissions still in the Lock Period will remain subject to clawback; (d) approved Commissions above the Minimum Payout Threshold will be paid out within 30 days of termination, provided there are no open fraud investigations or unresolved disputes. If termination is due to a breach by you, Visary reserves the right to forfeit all outstanding Commissions.

15. Independent Contractor

You are an independent contractor. Nothing in these Terms creates or implies any partnership, joint venture, agency, franchise, employment, or fiduciary relationship between you and Visary. You have no authority to bind Visary to any obligation or agreement. You are responsible for all expenses you incur in connection with the Programme.

16. Modifications to the Programme

Visary reserves the right to modify any aspect of these Terms, the Commission Rate, the Commission Lock Period, the Minimum Payout Threshold, the Cookie Window, or the Programme itself at any time. Material changes will be communicated by email to your registered address or via a notice in your Affiliate Dashboard, with at least 14 days' notice before taking effect.

If you continue to use your Referral Link after changes take effect, you are deemed to have accepted the updated Terms. If you do not accept the changes, you must stop using your Referral Link and notify us that you wish to close your account.

Visary also reserves the right to suspend or terminate the Programme entirely at any time by giving 30 days' written notice to active affiliates. On programme termination, approved balances above the Minimum Payout Threshold will be paid out.

17. Limitation of Liability

To the fullest extent permitted by applicable law:

  • Visary's total liability to you in connection with the Programme (whether in contract, tort, breach of statutory duty, or otherwise) shall not exceed the total Commissions paid to you in the 3 months immediately preceding the event giving rise to the claim;
  • Visary shall not be liable for any indirect, consequential, incidental, special, or punitive loss or damage, including loss of profits, loss of revenue, loss of data, or loss of goodwill, even if advised of the possibility of such loss;
  • Visary is not liable for any failure or delay caused by factors outside our reasonable control (including technical failures of third-party platforms, payment processors, or internet infrastructure).

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

18. Indemnification

You agree to indemnify, defend, and hold harmless Visary and its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) your violation of any applicable law or regulation; (c) your promotional activities; (d) any claim by a third party arising from your content or conduct; or (e) your failure to make required disclosures.

19. Data Protection

Visary processes your personal data (name, email, bank details, referral statistics) in accordance with its Privacy Policy, which forms part of these Terms. Bank details are encrypted at rest and in transit.

You must not collect, store, or process personal data of Referred Users in connection with the Programme. You are solely responsible for the lawful collection and use of any personal data you handle in your own promotional activities, and for complying with UK GDPR and any other applicable data protection law.

20. Representations and Warranties

You represent and warrant that:

  • You have the legal capacity and authority to enter into and perform these Terms;
  • All information you provide to Visary is and will remain accurate and complete;
  • Your participation in the Programme does not and will not violate any agreement to which you are a party or any applicable law;
  • You own or have the right to use all content you publish in connection with the Programme;
  • Your promotional activities will comply with all applicable laws, platform terms of service, and these Terms.

21. Confidentiality

You agree to keep confidential any non-public information about Visary's business, technology, commission structure (where not publicly disclosed), or other affiliates that you receive in connection with the Programme, and not to disclose such information to any third party without prior written consent from Visary.

22. Governing Law and Disputes

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

Both parties agree to attempt to resolve any dispute informally in the first instance by contacting us at the address below. If a dispute cannot be resolved informally within 30 days, both parties submit to the exclusive jurisdiction of the courts of England and Wales.

23. General

  • Entire Agreement: These Terms constitute the entire agreement between you and Visary regarding the Programme and supersede all prior agreements, representations, and understandings.
  • Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force.
  • Waiver: Failure by Visary to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.
  • Assignment: You may not assign or transfer your rights or obligations under these Terms without prior written consent from Visary. Visary may assign these Terms at any time, including in the event of a merger, acquisition, or sale of assets.
  • Survival: Clauses 5, 7, 8, 10, 11, 13, 14, 17, 18, 19, 21, and 22 survive termination of these Terms.
  • No Third-Party Rights: These Terms do not confer any rights on any third party under the Contracts (Rights of Third Parties) Act 1999.
  • Language: These Terms are written in English. In the event of any conflict between a translated version and the English version, the English version prevails.
